1. Acceptance of Terms

1.1 Agreement to Terms

By accessing or using BridgeBanks360 (the "Service"), you agree to be bound by these Terms, our Privacy Policy, and all applicable laws and regulations. If you do not agree, you may not use the Service.

1.2 Eligibility

You must be:

• 18 years or older (or the age of majority in your jurisdiction)
• Capable of forming a legally binding contract
• A resident of India (for Account Aggregator features)
• Not prohibited from using our Service under applicable laws

1.3 Changes to Terms

We reserve the right to modify these Terms at any time. Changes will be:

• Posted on this page with updated "Last Updated" date
• Notified via email for material changes
• Effective 7 days after posting (unless immediate change required by law)

Continued use after changes constitutes acceptance. If you disagree, stop using the Service and close your account.

2. Account Registration & Security

2.1 Account Creation

To use BridgeBanks360, you must:

• Provide accurate, complete, and current information
• Create a secure password (minimum 8 characters, with numbers, letters and symbols, 1 special character)
• Verify your email address
• Keep your account information up-to-date

2.2 Account Security

You are responsible for:

• Maintaining the confidentiality of your password
• All activities that occur under your account
• Notifying us immediately of unauthorized access or security breaches
• Logging out after each session, especially on shared devices

2.3 One Account Per User

You may create only one account per person. Multiple accounts are prohibited and may result in termination.

3. Service Description

3.1 What We Provide

BridgeBanks360 offers:

• Expense Tracking: Upload bank statements (PDF/CSV) for automated transaction categorization
• Budget Management: Set budgets, track spending, receive alerts
• Financial Analytics: Spending insights, trends, savings rate calculations
• Goal Tracking: Monitor progress towards financial goals
• Reports: Monthly expense reports, category breakdowns
• Account Aggregator Integration: Link bank accounts for automatic data sync (optional)
• Investment Tracking: Monitor mutual funds, stocks, portfolio value (beta)
• Loan/EMI Tracking: Track loan balances, EMI schedules (beta)

3.2 What We Don't Provide

BridgeBanks360 is NOT:

• A bank, financial institution, or payment service provider
• A licensed financial advisor or investment advisor
• Capable of conducting transactions, transfers, or payments
• Responsible for actions you take based on our analytics

3.3 Service Tiers

4. User Responsibilities

4.1 Accurate Information

You agree to:

• Upload only your own bank statements (not someone else's)
• Ensure uploaded data is accurate and up-to-date
• Review categorizations and correct errors
• Not manipulate data to misrepresent your financial situation

4.2 Prohibited Uses

You may NOT:

• Use the Service for illegal activities (money laundering, tax evasion, fraud)
• Upload malicious files (viruses, malware, ransomware)
• Attempt to hack, reverse-engineer, or compromise our systems
• Scrape, crawl, or extract data from the Service without permission
• Create fake accounts or impersonate others
• Share your account with others
• Resell, redistribute, or commercialize our Service
• Use the Service to harass, abuse, or harm others
• Violate any applicable laws or regulations

4.3 Content Ownership

Your Data: You retain ownership of all data you upload. By using the Service, you grant us a limited license to process your data to provide our services.

Our Content: All text, graphics, logos, software, and algorithms are owned by BridgeBanks360 and protected by copyright and trademark laws.

5. Account Aggregator Terms

5.1 Consent-Based Data Sharing

When you link bank accounts via Account Aggregator:

• You authorize us to fetch your financial data from banks via Setu Data Gateway
• Data is retrieved only with your explicit consent
• You specify which accounts to link, data range, and sync frequency
• Consent is valid for the duration you choose (default: 12 months)

5.2 Your Rights

• Revoke Consent: Stop data sharing anytime via Settings > Linked Accounts
• View Consent Details: See which accounts are linked and when data was last fetched
• Delete Historical Data: Request deletion of fetched data after revocation

5.3 Bank Relationships

BridgeBanks360 is not affiliated with or endorsed by any bank. We act as a Financial Information User (FIU) under RBI's Account Aggregator framework. Your relationship with your bank is governed by their terms.

5.4 Data Accuracy

While we strive for accuracy, we do not guarantee:

• 100% accuracy of data received from banks (errors may occur in bank APIs)
• Real-time data (sync frequency depends on your consent settings)
• Availability of all transaction details (some banks provide limited data)

6. Payment Terms (Future Plans)

Note: The following payment terms will apply when we launch our Premium tier. Currently, all features are available for free.

6.1 Billing (Planned)

• Monthly Plan: ₹149 charged monthly on subscription date
• Annual Plan: ₹1,499 charged yearly (save 16%)
• Payment Methods: Credit card, debit card, UPI, net banking
• Auto-Renewal: Subscriptions auto-renew unless cancelled

6.2 Cancellation & Refunds (Planned)

• Cancel Anytime: Settings > Subscription > Cancel (effective end of billing period)
• No Refunds: Payments are non-refundable (except as required by law)
• Downgrade: After cancellation, account reverts to Free tier (data retained)

6.3 Price Changes (Planned)

We may change pricing with 30 days' notice. If you disagree, cancel before the change takes effect. Existing subscribers retain current pricing until renewal.

7. Intellectual Property

7.1 Our IP

BridgeBanks360 owns all rights to:

• Software, algorithms, machine learning models
• Categorization logic, spending insights, analytics
• Trademarks, logos, branding ("BridgeBanks360")
• Website design, UI/UX, documentation

7.2 License to Use

We grant you a limited, non-exclusive, non-transferable license to use the Service for personal, non-commercial purposes. You may not:

• Copy, modify, or create derivative works
• Reverse-engineer our algorithms
• Use our name or logo without permission

8. Disclaimers

8.2 Not Financial Advice

IMPORTANT: BridgeBanks360 provides informational tools only, not financial advice. We are not:

• SEBI-registered investment advisors
• Certified financial planners
• Tax consultants or accountants

You are solely responsible for all financial decisions based on our analytics. Consult qualified professionals before making investment, loan, or tax decisions.

8.3 Third-Party Services

We integrate with third-party services (Setu, banks, stock exchanges). We are not responsible for:

• Downtime or errors in third-party services
• Data provided by banks or financial institutions
• Changes to third-party APIs or pricing

9. Limitation of Liability

9.2 Indemnification

You agree to indemnify and hold harmless BridgeBanks360 from any claims, damages, or legal fees arising from:

• Your violation of these Terms
• Your misuse of the Service
• Your violation of third-party rights
• Inaccurate information you provided

10. Service Availability & Modifications

10.1 Uptime

We strive for 99.5% uptime but do not guarantee continuous availability. Scheduled maintenance will be announced in advance.

10.2 Service Changes

We reserve the right to:

• Modify, suspend, or discontinue features without notice
• Change pricing, plans, or feature availability
• Remove or restrict access to certain users or countries

10.3 Beta Features

Features marked "Beta" are experimental and may:

• Contain bugs or inaccuracies
• Be removed or changed without notice
• Not be fully supported

11. Account Termination

11.1 Your Right to Terminate

You may delete your account anytime via Settings > Delete Account. Upon deletion:

• All personal data permanently deleted within 30 days
• Access to the Service immediately revoked
• Subscriptions cancelled (no refunds)

11.2 Our Right to Terminate

We may suspend or terminate your account if you:

• Violate these Terms
• Engage in fraudulent or illegal activity
• Abuse or harm other users
• Fail to pay for Premium subscriptions
• Remain inactive for >24 months

Notice: We'll notify you before termination (except for severe violations). You may appeal within 7 days.

12. Dispute Resolution

12.1 Governing Law

These Terms are governed by the laws of India, without regard to conflict of law principles.

12.2 Jurisdiction

Any disputes shall be subject to the exclusive jurisdiction of courts in [Your City], India.

12.3 Dispute Resolution Process

1. Informal Resolution: Contact us at support@bridgebanks360.com. We'll attempt to resolve within 30 days.
2. Mediation: If unresolved, parties agree to mediation before litigation.
3. Arbitration (Optional): Either party may opt for arbitration under Indian Arbitration and Conciliation Act.

12.4 Class Action Waiver

You agree to resolve disputes individually, not as part of a class action, collective action, or representative proceeding.

13. Regulatory Compliance

13.1 RBI Account Aggregator Framework

Our Account Aggregator integration complies with:

• RBI Master Directions on NBFC-Account Aggregators
• NBFC-AA Regulatory Framework
• Data Empowerment and Protection Architecture (DEPA)

13.2 Data Protection

We comply with:

• Information Technology Act, 2000 and IT Rules, 2011
• RBI guidelines on data localization and storage
• GDPR-like best practices for data protection

13.3 Not a Regulated Entity

BridgeBanks360 is not regulated by RBI, SEBI, or IRDAI. We are a technology platform, not a financial services provider.

14. Miscellaneous

14.1 Entire Agreement

These Terms, along with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and BridgeBanks360.

14.2 Severability

If any provision is found unenforceable, the remaining provisions remain in full effect.

14.3 No Waiver

Our failure to enforce any right does not waive that right.

14.4 Assignment

You may not transfer your account or rights. We may assign our rights to a successor entity (e.g., in case of acquisition).

14.5 Force Majeure

We are not liable for failures due to events beyond our control (natural disasters, war, strikes, internet outages, pandemics).

14.6 Survival

Sections on IP, liability, indemnification, and dispute resolution survive termination.
